Terms of Service

Resida Platform Terms of Use

These Terms of Use (“Terms”) govern access to and use of the Resida platform and related services (collectively, the “Service”) operated by Cumulus Software, LLC, a Wyoming limited liability company (“Resida,” “we,” “us,” or “our”).

By creating an account, accessing, or using the Service, you agree to be bound by these Terms.

If you do not agree, you may not use the Service.

1. Description of the Service

Resida provides a software platform that facilitates communication, payment processing, and information management between property owners, managers, tenants, and authorized users.

The Service may include:

  • Tenant and landlord web or mobile applications
  • Messaging and notification tools
  • Rent payment facilitation
  • Account and property management tools
  • Reporting and administrative features

Resida is a technology platform only.

Resida does not:

  • own, lease, or manage properties;
  • act as a landlord or tenant;
  • provide property management services;
  • provide legal, financial, or real estate advice; or
  • become a party to any lease or rental agreement.

All rental relationships exist solely between landlords and tenants.

2. Eligibility

You must:

  • be at least 18 years old;
  • have authority to enter binding agreements; and
  • provide accurate registration information.

If using the Service on behalf of an organization, you represent that you are authorized to bind that organization.

3. User Accounts

You are responsible for:

  • maintaining account security;
  • safeguarding authentication credentials;
  • all activity occurring under your account.

You must promptly notify Resida of unauthorized use.

Resida may suspend accounts suspected of unauthorized or fraudulent activity.

4. User Roles

The Service supports multiple user roles, including tenants, landlords, property managers, and administrators.

Additional terms applicable to specific roles may apply through supplemental agreements incorporated into these Terms by reference.

5. Communications and Electronic Consent

By using the Service, you consent to receive electronic communications, including:

  • service notifications;
  • transactional emails;
  • payment confirmations;
  • system alerts; and
  • push notifications where enabled.

Communications sent through the Service may be stored and processed to operate, maintain, and improve the platform.

You are responsible for ensuring your contact information remains accurate.

6. Payments and Financial Services

The Service may enable electronic payments between users.

6.1 Third-Party Providers

Payment processing, bank verification, and financial transfers are provided by independent third parties (“Payment Providers”), which may include financial institutions and payment processors.

Your use of payment functionality may require acceptance of additional provider terms.

Resida does not hold customer funds unless explicitly stated otherwise.

6.2 Platform Role

Resida:

  • facilitates payment instructions;
  • transmits payment data to Payment Providers; and
  • records transaction information.

Resida is not:

  • a bank,
  • a money transmitter,
  • an escrow agent, or
  • a fiduciary.

Payment execution timing and availability depend on Payment Providers and banking systems.

6.3 No Payment Guarantees

Resida does not guarantee:

  • successful transfers,
  • payment completion,
  • availability of funds, or
  • collection of rent.

7. Acceptable Use

You agree not to:

  • violate any law or regulation;
  • infringe intellectual property rights;
  • transmit unlawful, abusive, or fraudulent content;
  • attempt unauthorized system access;
  • interfere with platform operation;
  • reverse engineer or exploit the Service;
  • use the Service to harass or discriminate against others.

Resida may investigate violations and suspend access.

8. User Content and Communications

Users may submit messages, documents, and other content (“User Content”).

You retain ownership of your User Content but grant Resida a worldwide, non-exclusive license to:

  • host,
  • store,
  • transmit,
  • process, and
  • display

such content solely to operate and improve the Service.

Resida may review content where necessary to:

  • provide support,
  • maintain security,
  • comply with law, or
  • enforce these Terms.

Resida does not routinely monitor communications.

8.1 AI Processing of Submitted Content

Certain features of the Service use artificial intelligence to process content you submit. By using AI-assisted features (such as automated expense extraction), you acknowledge and consent that:

  • documents, attachments, and related content you submit through those features may be transmitted to third-party AI service providers for analysis;
  • the Service may take automated actions based on AI analysis, such as categorizing or confirming expense entries; and
  • you are responsible for reviewing AI-generated outputs and correcting any inaccuracies.

You should not submit content through AI-assisted features that you do not want processed by third-party AI systems. AI processing is described further in the Resida Privacy Policy.

9. Privacy

Use of the Service is subject to the Resida Privacy Policy, which describes how personal information is collected and used.

The Privacy Policy is incorporated into these Terms by reference.

10. Platform Availability

The Service is provided on an “as available” basis.

Resida does not guarantee uninterrupted or error-free operation.

Maintenance, updates, outages, or third-party failures may affect availability.

11. Intellectual Property

All platform software, branding, and materials are owned by Resida or its licensors.

You receive a limited, non-exclusive, non-transferable license to use the Service solely for its intended purposes.

No rights are granted beyond those expressly stated.

12. Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.”

RESIDA DISCLAIMS ALL WARRANTIES, INCLUDING:

  • MERCHANTABILITY,
  • FITNESS FOR A PARTICULAR PURPOSE,
  • NON-INFRINGEMENT, AND
  • ACCURACY OR RELIABILITY OF INFORMATION.

Resida does not guarantee the conduct of users, property conditions, or compliance with housing laws.

13. Limitation of Liability

To the fullest extent permitted by law, Resida shall not be liable for:

  • indirect or consequential damages;
  • lost profits or revenue;
  • data loss;
  • payment failures;
  • disputes between users.

Resida’s total liability arising from the Service shall not exceed the greater of:

  • amounts paid to Resida in the prior 12 months, or
  • $100 USD.

14. Indemnification

You agree to indemnify and hold harmless Resida from claims arising out of:

  • your use of the Service;
  • violation of these Terms;
  • violation of law; or
  • disputes between landlords and tenants.

15. Suspension and Termination

Resida may suspend or terminate access if you:

  • violate these Terms,
  • create risk or legal exposure,
  • engage in fraud or abuse.

You may stop using the Service at any time.

Certain provisions survive termination.

16. Modifications to the Service or Terms

Resida may modify the Service or these Terms.

Material changes will be communicated through the platform or electronically.

Continued use after changes constitutes acceptance.

17. Governing Law

These Terms are governed by the laws of the State of Wyoming, without regard to conflict-of-law principles.

18. Dispute Resolution

Any disputes arising under these Terms shall be resolved through binding arbitration, except where prohibited by law or where either party seeks injunctive relief.

20. Entire Agreement

These Terms, together with the Privacy Policy and applicable supplemental terms, constitute the entire agreement between you and Resida regarding the Service.
